Vibe Hire AI Platform Services Agreement
1. Acceptance of Terms
By accessing and using the Vibe Hire AI platform ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
2. Service Description
Vibe Hire AI is an artificial intelligence-powered hiring platform that provides:
- AI video interviews with real-time analysis
- DISC personality assessments
- Performance prediction and candidate scoring
- Skills gap analysis and recommendations
- Blockchain-verified credentials
- White-label branding capabilities
- Talent sourcing and candidate matching
- Advanced analytics and reporting
3. User Accounts and Registration
3.1 Account Creation
To use our Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Eligibility
You must be at least 18 years old and have the legal authority to enter into this agreement. By using our Service, you represent and warrant that you meet these requirements.
3.3 Account Security
You are solely responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.
4. Subscription Plans and Billing
4.1 Subscription Tiers
We offer various subscription plans with different features and usage limits. Current pricing and features are displayed on our pricing page.
4.2 Payment Terms
- Subscription fees are billed in advance on a monthly or annual basis
- All fees are non-refundable except as required by law
- Usage beyond plan limits may incur additional charges
- We reserve the right to change pricing with 30 days' notice
4.3 Automatic Renewal
Your subscription will automatically renew unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.

6. Acceptable Use Policy and User Responsibilities

6.2 Employment Law Compliance
You expressly acknowledge and agree that:
- You are solely responsible for compliance with EEOC, ADA, and all employment laws
- AI recommendations are supplemental tools, not replacement for human judgment
- You must maintain proper documentation of all hiring decisions
- You are responsible for obtaining candidate consent for assessments
- You must provide reasonable accommodations as required by law
- You bear all legal and financial responsibility for your hiring practices
7. Intellectual Property Rights
7.1 Our Rights
The Service, including all software, algorithms, designs, and content, is owned by National Energy Center, LLC and protected by intellectual property laws.
7.2 Your Rights
You retain ownership of your data and content uploaded to the Service. You grant us a license to use this data to provide and improve our services.
7.3 Restrictions
You may not copy, modify, distribute, or create derivative works based on our Service without explicit written permission.
8. AI and Algorithm Disclaimer
8.1 AI Accuracy
While our AI systems are highly sophisticated, we do not guarantee 100% accuracy in assessments, predictions, or recommendations.
8.2 Human Oversight
Users should always exercise human judgment and consider multiple factors when making hiring decisions.
8.3 Bias Mitigation
We continuously work to minimize bias in our AI systems, but users remain responsible for ensuring fair and legal hiring practices.
9. Limitation of Liability
Our total liability to you for any claim arising out of or relating to these terms or the Service shall not exceed the lesser of: (a) $100 USD, or (b) the amount paid by you for the Service in the 3 months preceding the claim.
9.1 AI System Limitations
We specifically disclaim any liability for:
- Hiring decisions made based on AI recommendations
- Employment law violations by users
- Discrimination claims arising from platform use
- Technical failures or service interruptions
- Data breaches beyond our reasonable control
- Third-party integrations or services
9.2 No Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
10. Indemnification
- Your use or misuse of the Service
- Your violation of these terms or applicable laws
- Your hiring decisions or employment practices
- Any discrimination or employment law violations
- Content you upload or submit to the Service
- Your breach of any representation or warranty
- Claims by third parties related to your use of the Service
- Any negligent or wrongful acts or omissions by you or your employees
This indemnification obligation shall survive termination of these terms and your use of the Service.
11. Termination
11.1 Termination by You
You may terminate your account at any time by following the cancellation process in your account settings.
11.2 Termination by Us
We may terminate or suspend your account immediately if you violate these terms or engage in prohibited activities.
11.3 Effect of Termination
Upon termination, your access to the Service will cease, and we may delete your data after a reasonable retention period.
12. Dispute Resolution

These terms shall be governed by and construed in accordance with the laws of the United States and the state where National Energy Center, LLC is incorporated.

14. Miscellaneous
14.1 Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

These terms, together with our Privacy Policy, constitute the entire agreement between you and National Energy Center, LLC regarding the Service.
14.3 No Waiver
Our failure to enforce any provision of these terms shall not be deemed a waiver of such provision or our right to enforce it.
14.4 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
14.5 Independent Contractors
The parties are independent contractors. These terms do not create any partnership, joint venture, employment, or agency relationship between the parties.
14.6 Survival
Sections relating to intellectual property, limitation of liability, indemnification, and dispute resolution shall survive termination of these terms.
15. Risk Acknowledgment and Release
You specifically acknowledge and assume the risk of:
- AI system errors, biases, or inaccuracies
- Technical failures or service interruptions
- Data security breaches or unauthorized access
- Employment law violations or discrimination claims
- Financial losses from hiring decisions
- Regulatory fines or legal penalties
- Reputational damage from platform use
